Terms of Service

These Terms of Service (“Terms”) govern your use of gogreenfrog.com (the “Site”) and any purchase you make from GreenFrog Packaging® (“GreenFrog,” “we,” “us”). By using the Site, requesting samples or a quote, or placing an order, you agree to these Terms. If you are acting on behalf of a company, you represent that you are authorized to bind that company.

1. Who we are

GreenFrog Packaging® makes BioBottles®, BioCaps® and ZeroBottles™, bottles and closures for supplement, nutraceutical, pharmaceutical and pet-product brands. Our office is at 220 North Main Street, NOMA Tower Suite 500, Greenville, SC 29601.

2. Using the Site

You may use the Site to learn about our products, request samples and quotes, download specifications and buy products we offer for sale online. You agree not to interfere with the Site, attempt unauthorized access to any part of it, scrape it in a way that burdens it, or use it for anything unlawful. We may change or discontinue any part of the Site at any time.

3. Orders, quotes and pricing

• Online orders. Prices shown in the shop are in US dollars and exclude shipping and any applicable sales tax, which are shown before you pay. An order is accepted when we ship it. We may refuse or cancel an order, for example if a product is unavailable, a price was listed in error or payment cannot be verified, and we will refund anything you have paid for a cancelled order.
• Quotes and sales orders. Most of our business is quoted. A quote is valid for the period stated on it, and a sales order you sign is governed by the terms on that document, including its payment terms, lead time and minimum quantities. Where those terms differ from these Terms, the sales order controls.
• Custom and made-to-order products. Custom colors, custom molds, printed items and quantities produced to order are manufactured for you and cannot be cancelled once production has started.
• Quantities. Production runs are subject to an industry-standard over/under shipment allowance where stated on the sales order, and you will be invoiced for the quantity actually shipped.

4. Payment

Online orders are paid by card at checkout through our payment processor. We do not store full card numbers. Quoted orders are paid according to the terms on the sales order. Past-due balances may be subject to interest and collection costs as allowed by law, and we may hold shipments while an account is past due.

5. Shipping, returns and refunds

Shipping methods, lead times and freight terms are described in our Shipping Policy. Returns, damaged goods and refunds are covered by our Refund Policy. Both are part of these Terms.

6. Product information and your claims

We describe our products and the testing behind them as accurately as we can, and we publish our substantiation on the claims page. You are responsible for your own labels, marketing and regulatory compliance, including deciding which environmental or sustainability claims you may lawfully make in the markets you sell in. Our marketing-language-by-country guide is provided to help, not as legal advice. You are also responsible for confirming that a product is suitable for your contents, closure, filling line and shelf-life requirements; samples are available for that purpose.

7. Trademarks and intellectual property

BioBottles®, BioCaps®, ZeroBottles™, PlasticIQ®, GreenFrog Packaging® and the BioBottles badge are trademarks of GreenFrog Packaging. The Site, its content, product designs, spec sheets and artwork are owned by GreenFrog or its licensors. You may not use our marks, badge or artwork on your packaging or marketing without a signed IP agreement with us, and any use must follow the brand guidelines supplied with that agreement. Buying our products does not license our marks. You may download spec sheets and die lines for the purpose of evaluating and using our products.

8. Warranties

We warrant that products we ship conform to their published specifications at the time of shipment. Your sole remedy for a non-conforming product is replacement or refund as set out in the Refund Policy. EXCEPT AS STATED HERE, PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GREENFROG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CONTENTS OR RECALL COSTS, ARISING OUT OF THE SITE OR ANY PRODUCT. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold GreenFrog harmless from claims arising out of your products, your labels and marketing claims, your use of our marks outside a signed IP agreement, or your breach of these Terms.

11. Governing law

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Greenville County, South Carolina, and you consent to their jurisdiction.

12. Changes

We may update these Terms by posting a new version here. The “Last updated” date shows the most recent revision. Orders are governed by the Terms in effect when the order was placed.
